How the company is organized, and what that means for documents and counterparties.

Lanterna Holdings LLC holds interests in the entities that carry on its development, lending and rental activity. It does not build houses, make loans, or manage tenancies itself. Its own work is ownership, capital allocation and supervision.

Operating Structure

Operating activity may be conducted through separate subsidiaries, affiliates, or special-purpose entities. A project, a loan or a property may be held in its own entity for accounting, financing, insurance and administrative reasons. That is ordinary practice in real estate and nothing particular to Lanterna.

Lanterna's name will therefore not appear on most underlying documents. A title commitment, a loan document, a construction contract or a lease is expected to carry the name of the operating entity that is party to it.

Anyone verifying a matter should settle the correct party name early. It determines who signs and where notices go. Lanterna can confirm its relationship to a given entity in connection with an identified matter, on a request from a party with reason to ask.

Long-Term Orientation

Holdings are acquired with long holding periods in mind, and decisions are made on that basis. Maintenance and improvement are planned and funded.

Commitments are sized so they can be carried in conditions less favorable than the ones they were made in. The approach rules out transactions that depend on a quick resale or on refinancing at a particular moment.

Requests for Documentation

Formation and good-standing documentation for the entity involved, evidence of signing authority, a Form W-9 and certificates of insurance are provided in the course of a matter. Financial and transaction documentation is provided directly to the counterparty who needs it, under confidentiality.
